Amorepacific Group has entered into a definitive agreement to acquire Tata's Natural Alchemy, LLC (Tata Harper), a Vermont-based luxury clean beauty skincare brand. The deal, expected to close in early Q4 2022, will keep co-founder Tata Harper in a leadership role and aims to expand the brand's footprint in North America, Europe and Asia while leveraging Amorepacific's R&D and distribution capabilities.

Galderma Acquires ALASTIN Skincare

Galderma has completed the acquisition of ALASTIN Skincare, Inc., receiving U.S. antitrust clearance and closing the deal announced November 29, 2021. The purchase adds ALASTIN's physician-dispensed aesthetic skincare portfolio, including its patented TriHex Technology, to Galderma's integrated dermatology platform to expand product capabilities and better serve aesthetic professionals and consumers.

Organon Acquires Dermavant Sciences (VTAMA tapinarof cream, 1%)

Organon entered into a definitive agreement to acquire Dermavant Sciences Ltd., including its immuno-dermatology product VTAMA (tapinarof) cream, 1%, for up to approximately $1.2 billion in aggregate consideration. Organon completed the acquisition in October 2024, expanding its dermatology capabilities in the U.S. with a nonbiologic, non-steroidal topical therapy for plaque psoriasis, and with atopic dermatitis under FDA review.

Nihon Kolmar (TOA Group) Acquires Tokiwa Cosmetics Group from Carlyle

Global cosmetics ODM/OEM group Nihon Kolmar Holdings (together with its TOA Inc. subsidiary, the “TOA Group”) has agreed to acquire 100% of Tokiwa Cosmetics Group from The Carlyle Group. Tokiwa, a Nakatsugawa, Gifu Prefecture–based cosmetics R&D and contract manufacturer founded in 1948, will join TOA Group to strengthen its manufacturing, R&D and global supply capabilities; terms were not disclosed.

Nactarome Group Acquires Plantex SAS

Nactarome Group, majority owned by private equity firm TA Associates, has acquired Plantex SAS, a French producer of high-quality plant extracts for the food, nutraceutical, cosmetics and animal nutrition markets. The deal is an add-on to Nactarome’s ingredient platform to expand its plant-extraction capabilities and product offering; terms were not disclosed.

L'Oréal Acquires Thayers Natural Remedies from Henry Thayer Company

L'Oréal has signed an agreement to acquire Thayers Natural Remedies, a US-based natural skincare brand owned by Henry Thayer Company, and will integrate the brand into its Consumer Products Division. Headquartered in Easton, Connecticut, Thayers recorded approximately USD 44 million in sales in 2019; the transaction is subject to customary regulatory approvals.
