Tether Acquires 70% of Adecoagro in Majority Stake Deal

Tether Investments S.A. de C.V. agreed to acquire control of Adecoagro S.A., including through a tender offer that would raise its ownership to about 70% of Adecoagro’s outstanding shares. The purchase is priced at $12.41 per common share and is subject to customary closing conditions, including a minimum tender threshold of shares representing at least 51% on a fully diluted basis.

Legrand to Acquire a Majority Stake in Cogelec

Legrand France, a subsidiary of Legrand, has signed an agreement to acquire all shares of Cogelec Développement, which indirectly holds 60.09% of Cogelec’s share capital and 78.39% of voting rights. If completed, Legrand will launch a mandatory simplified tender offer for the remaining Cogelec shares at €29 per share, with potential squeeze-out thereafter.

Masdar Acquires 70% of TERNA ENERGY

Abu Dhabi Future Energy Company PJSC (Masdar) has completed the acquisition of 70% of the outstanding shares of TERNA ENERGY SA from GEK TERNA SA and other shareholders at €20 per share, valuing TERNA ENERGY at an enterprise value of €3.2 billion. Masdar will seek regulatory approval to launch an all-cash mandatory tender offer for the remaining shares and plans to scale TERNA ENERGY's renewable capacity to 6 GW by 2029 as part of a broader push to expand its European platform.

The transaction brings a commercial-scale alfalfa farming operation (currently ~750 acres in production out of ~62,000 acres secured in Senegal) to the U.S. public markets and is intended to fund scaling of agricultural production and geographic expansion across Africa.
