Uranium Energy Corp. (UEC) agreed to acquire all outstanding common shares of UEX Corporation (UEX) via a statutory plan of arrangement, using a share exchange of 0.0831 UEC shares for each UEX share (implied C$0.43 per UEX share, ~50% premium). The deal, expected to close in Q3 2022, combines UEC's U.S. production-ready ISR assets and physical uranium holdings with UEX's Canadian exploration portfolio in Saskatchewan and Nunavut to create a larger North American-focused uranium company.

Select Water Solutions Acquires Haynesville and Rockies Water Infrastructure Assets

Select Water Solutions (NYSE: WTTR) acquired three strategic produced-water infrastructure portfolios in the Haynesville Shale and the Rockies for approximately $90 million in cash, adding roughly 450,000 barrels per day of permitted disposal capacity across 21 active saltwater disposal wells, two slurry injection wells, and additional permitted recycling capacity. The transactions include the disposal assets and operations of Tri-State Water Logistics, LLC and substantially all assets of Iron Mountain Energy LLC, and additional Rockies disposal/recycling infrastructure, and are expected to be accretive to Select's Water Infrastructure segment while expanding its geographic footprint and treatment capabilities.

Rio Tinto Acquires Remaining Stake in Turquoise Hill Resources for C$43.00 per Share

Rio Tinto has agreed to terminate certain dissent-related agreements with minority shareholders tied to Pentwater Capital Management LP and SailingStone Capital Partners LLC, while its all-cash plan to acquire the ~49% of Turquoise Hill it does not already own will proceed. Under the proposed plan of arrangement, Turquoise Hill shareholders are offered C$43.00 per share in cash, supported by Rio Tinto’s commitments regarding dissent rights and related payments.

Uranium Energy Corp completed a subscription to acquire 107,142,857 common shares of Anfield Energy Inc. for C$15.0 million (US$10.46 million), increasing its beneficial ownership in Anfield to approximately 17.8% on a non-diluted basis (about 24.2% partially diluted). The investment was made for investment purposes under a subscription agreement and UEC said it may monitor and potentially adjust its ownership in the future.
