Woodside Energy Group Acquires OCI Clean Ammonia Project in Beaumont, Texas

OCI Global has completed the divestment of its 1.1 million metric tonnes Clean Ammonia project under construction in Beaumont, Texas to Woodside Energy Group Ltd. The transaction is valued at about USD 2.35 billion on a cash-free, debt-free basis and OCI will continue to manage construction through provisional acceptance.

Methanex Corporation has completed the acquisition of 100% of OCI Global’s methanol business (OCI Methanol) for a total consideration of USD 1.6 billion on a cash-free, debt-free basis, consisting of approximately USD 1.3 billion of cash and 9.9 million Methanex common shares (≈USD 346 million). The deal includes OCI’s 50% interest in the Natgasoline joint venture and gives OCI a ~12.9% stake in Methanex; OCI also announced plans to return up to USD 1.0 billion to shareholders following the closing.

Abu Dhabi National Oil Company (ADNOC) has completed the purchase of OCI Global’s entire 50%+1 equity stake in Fertiglobe for USD 3.62 billion on a cash-free debt-free basis, increasing ADNOC's ownership in Fertiglobe to 86.2%. The transaction marks OCI's full exit to monetize its investment; Fertiglobe's board re‑appointed Ahmed El‑Hoshy as CEO effective 15 October 2024 and the ADX free float remains at 13.8%.
