Tiny Acquires HappyFunCorp for $30M

Canadian acquirer Tiny has purchased Brooklyn-based product engineering firm HappyFunCorp for $30 million in a deal combining cash and shares. HappyFunCorp — a profitable, bootstrapped app and product engineering shop (2022 revenue ~$12M) — will remain independently operated in Brooklyn with its leadership team staying on post-close.

WeCommerce Holdings LP, a subsidiary wholly owned by Tiny Ltd., has acquired all issued and outstanding shares of Clean Canvas Limited for an upfront US$11.5 million plus up to US$1.2 million of contingent earn-out consideration. Clean Canvas, a UK-based Shopify theme designer and developer, will continue to operate as an independent brand and its results will be consolidated into Tiny's financials; the purchase includes a US$750,000 holdback and the earn-out may be paid in cash, Tiny common shares, or a combination.
