AeroVironment Acquires Arcturus UAV for $405M

AeroVironment, Inc. (NASDAQ: AVAV) will acquire Arcturus UAV, Inc., a Petaluma, California–based developer and manufacturer of Group 2 and 3 unmanned aircraft systems, for a total purchase price of $405 million (approximately $355 million cash and $50 million in AeroVironment stock). The acquisition expands AeroVironment's product portfolio into higher-value Group 2 and 3 UAS segments, adds Arcturus’s ~270 employees and COCO services capability, and is expected to be accretive to adjusted EBITDA and GAAP EPS in fiscal 2022.

AeroVironment Acquires Planck Aerosystems

AeroVironment, Inc. has acquired Planck Aerosystems, a San Diego-based developer of advanced unmanned aircraft navigation and autonomy solutions. The acquisition will accelerate AeroVironment's autonomy capabilities by integrating Planck's embedded Autonomous Control Engine (ACE) and other technologies into its medium unmanned aircraft systems (MUAS) business, expanding capability for operations from moving platforms and in GPS-denied environments.

AeroVironment Acquires BlueHalo for $4.1B

AeroVironment, Inc. completed an all-stock acquisition of BlueHalo LLC in a transaction valuing the deal at approximately $4.1 billion, creating a combined defense technology company operating as AV. The deal, in which Arlington Capital Partners sold BlueHalo, brings BlueHalo's space, directed energy, electronic warfare, cyber, and AI capabilities into AV to accelerate cross-domain integration and scale production for U.S. and allied defense customers.

Ondas Holdings Acquires American Robotics, Inc.

Ondas Holdings Inc. has entered into a definitive agreement to acquire American Robotics, a developer of fully-automated commercial drone systems, for approximately $70.6 million in a mix of cash and equity. The acquisition will integrate American Robotics' Scout autonomous drone system and FAA BVLOS approvals with Ondas' FullMAX industrial wireless platform to expand automated data collection and AI analytics for industrial customers such as utilities, agriculture and oil & gas.

Oshkosh Corporation Acquires AeroTech Business from JBT Corporation for $800 million

Oshkosh Corporation agreed to acquire the AeroTech business from JBT Corporation in an $800 million all-cash transaction (approximately $720 million net of expected tax benefits). The acquisition expands Oshkosh into the air transportation support market, adds recurring aftermarket revenue and technology capabilities (electrification, autonomy, connectivity), and is expected to be accretive to earnings and deliver synergies of roughly $20 million run-rate by year three.

Hudson Robotics (Argosy Healthcare Partners) Acquires Tomtec Inc.

Hudson Robotics and Art Robbins Instruments, an Argosy Healthcare Partners portfolio company, has acquired Tomtec Inc., a Hamden, Connecticut-based maker of automated liquid handling instruments for mass spectrometry sample preparation. The deal expands Hudson's liquid handling and sample-preparation capabilities—adding Tomtec's Quadra/Harvester products and opening new bioanalytics and mass-spectrometry workflows to Hudson's integrated automation solutions.
