Flora Growth Corp. (NASDAQ: FLGC) completed the acquisition of all issued and outstanding shares of Franchise Global Health Inc. (TSXV: FGH) on December 23, 2022 via a statutory plan of arrangement, issuing 43,525,951 Flora common shares to FGH shareholders. FGH is a multi-national medical cannabis and pharmaceutical operator with principal operations in Germany that services more than 1,200 pharmacies; the deal provides Flora an operational footprint in Germany and expanded distribution capability into the European Union.

GrowGeneration Acquires Commercial Grow Supply

GrowGeneration Corp. (NASDAQ: GRWG) has acquired Commercial Grow Supply, a hydroponic superstore in Santa Clarita, California, founded in 2011 by Sevan Derohanian. The acquisition (Commercial Grow Supply had annual revenue near $10 million) expands GrowGeneration’s footprint in Southern California and increases its California store count to 22 as the company continues to scale its national retail network.

JARS Cannabis Acquires Euflora LLC

Privately held JARS Cannabis has entered into a definitive agreement to acquire Euflora LLC, adding six recreational dispensaries and a 7,200 sq. ft. cultivation center and greenhouse in Colorado. The deal expands JARS' retail footprint to 26 storefronts across three states, increases product assortment and customer reach, and is intended to drive operational and retail synergies in core recreational markets.

Alta Arbor Acquires Casa Flora

Curaleaf Acquires Bloom Dispensaries

Curaleaf Holdings, Inc. agreed to acquire Bloom Dispensaries, a vertically integrated single-state cannabis operator in Arizona, in an all-cash transaction valued at approximately US$211 million. The deal adds four retail dispensaries (Phoenix, Tucson, Peoria, Sedona) plus ~63,500 sq. ft. of adjacent cultivation and processing space in north Phoenix; Curaleaf will pay $51 million cash at close and the remainder via three promissory notes, and Bloom generated estimated 2021 revenue of ~$66 million with EBITDA margins above 40%.
