Logistics & Distribution Acquisitions in Virginia

ShipTime Canada Inc., a subsidiary of Paid, Inc. (OTC: PAYD), has acquired an 80% ownership stake in Warehowz, Inc., a North American on-demand warehousing and fulfillment marketplace. The deal is intended to accelerate ShipTime's expansion across North America and add warehousing and fulfillment capabilities to its logistics technology platform.

RPM Freight Systems has acquired Professional Automotive Relocation Services (PARS), combining RPM's finished-vehicle logistics platform with PARS' fleet relocation and lifecycle services. The deal, backed by RPM investors Trive Capital and Bluejay Capital, expands RPM's service portfolio to include driveaway, vehicle storage, titling and registration; terms were not disclosed.

eShipping, a Kansas City–based tech-enabled managed transportation provider, has acquired Virginia-based Integrated Logistics 2000 LLC (IL2000). The add-on expands eShipping's footprint into Virginia (IL2000 is headquartered in Virginia Beach) and broadens its managed transportation and TMS capabilities; IL2000 has roughly 33 employees.

DAT Freight & Analytics has acquired the operations of Trucker Tools LLC from ASG (a portfolio company of Alpine Investors) to integrate real-time load tracking, automated booking, and digital freight-matching capabilities into its DAT One platform. Trucker Tools will continue to operate under its current leadership, with CEO Kary Jablonski joining the DAT executive team; the deal closed on December 17, 2024.

An affiliate of private equity firm Sun Capital Partners has completed the acquisition of Century Distribution Systems, a global digital logistics provider offering supply chain management and freight forwarding services. Sun Capital said it will apply its corporate carve-out and operational expertise to drive performance and pursue strategic add-on opportunities to broaden Century's capabilities; terms were not disclosed.

RoadOne IntermodaLogistics has acquired DDI Transportation, a 38-year-old drayage and trucking business based in Ashland, Virginia. The deal expands RoadOne's domestic drayage and regional truckload capabilities on the U.S. East Coast and will integrate DDI into RoadOne's family of brands as DDI IntermodaLogistics.

Affiliates of CriticalPoint Capital completed the acquisition of substantially all assets of the Farm Supply Distribution division from Southern States Cooperative and rebranded the business as Agway Farm & Home. The company will operate as a wholesale product distributor serving a network of more than 1,250 independent dealers and Southern States-owned retail locations across the East Coast; CriticalPoint said it plans to support organic growth and strategic add-on acquisitions.

Hub Group, Inc. acquired NonstopDelivery, LLC (NSD), a non-asset based last-mile logistics provider based in Chantilly, Virginia, to add residential last-mile delivery capabilities and provide end-to-end supply chain solutions to its customers. NSD's senior leadership will remain with the business, which operates a nationwide agent network and is expected to be accretive to Hub Group's earnings.

Alta Equipment Group Inc. has signed a definitive agreement to acquire PeakLogix, a Midlothian, Virginia-based material handling systems integrator that designs and installs warehouse automation and storage systems. The acquisition expands Alta's materials handling capabilities and geographic footprint; PeakLogix generated about $25 million in revenue and $2 million in operating income in FY2019. Terms were not disclosed and the transaction is expected to close by the end of June, subject to customary conditions.
