Cybersecurity Acquisitions in New Jersey

Proofpoint, Inc. has acquired Nuclei, Inc., a Holmdel, New Jersey-based provider of compliance archiving and AI-driven data enrichment for modern workplace communications. The acquisition integrates Nuclei's capture, transcription, translation and analytics capabilities (100+ app connectors) into Proofpoint's digital communications governance offering to strengthen compliance archiving and surface conversational insights for regulated enterprises.

Universal Technical Resource Services, Inc. (UTRS) formed a new majority-owned subsidiary, UTRS InfoSec LLC, and acquired Black Cipher Security, LLC to expand its cybersecurity capabilities. The acquisition brings Black Cipher's managed security, incident response, and risk management expertise into UTRS to strengthen services for the Department of Defense and commercial clients.

M|C Partners has made a strategic growth investment in Consortium Networks to accelerate the cybersecurity firm's growth, expand talent acquisition, sales, technical expertise, and vendor partnerships. As part of the transaction, cybersecurity veteran Nate Ungerott was appointed CEO; founders Larry Pfeifer and Tim Murphy remain materially invested and on the board. Terms were not disclosed.

CBIZ, Inc. acquired information security consulting firm Pivot Point Security (PPS) of Hamilton, New Jersey, effective June 1, 2023. Pivot Point, founded in 2001, has about 30 employees and reported $6.6 million in revenue in 2022; the acquisition expands CBIZ's cybersecurity and security advisory capabilities for small and middle-market clients.

Parsons Corporation has acquired IPKeys Power Partners, a Tinton Falls, New Jersey-based provider of cloud-based cybersecurity and enterprise software for utilities, for $43 million. The acquisition expands Parsons' critical infrastructure protection and grid modernization capabilities by adding IPKeys' IT/OT cyber and operational security platforms and established utility customer base.

iThreat Cyber Group, a New Brunswick-based cyber threat intelligence and managed security firm, has been sold to Shorebreak iThreat Security, LLC, a newly formed subsidiary of NetPlus Telecom. The acquisition will allow NetPlus to integrate iThreat's SignalAlert platform and analyst-led threat monitoring capabilities into its telecom/managed services offering to drive capability and vertical expansion.

CloudWave, a healthcare-focused cloud and managed IT provider, has acquired Sensato Cybersecurity and integrated Sensato’s Cybersecurity-as-a-Service platform into its OpSus offering. Sensato founder John Gomez will join CloudWave as chief security and engineering officer; financial terms were not disclosed.

iC Consult Group, a Carlyle Group portfolio company, has acquired Kapstone Technologies LLC, a Somerset, New Jersey–based provider of identity and security managed services. The acquisition expands iC Consult's managed services and offshore capabilities (notably in India) and strengthens its U.S. execution capacity in Identity & Access Management (IAM).

Deloitte Risk & Financial Advisory acquired substantially all of the assets of TransientX, Inc., a Hoboken, New Jersey–based Zero Trust Network Access (ZTNA) company. The asset purchase adds TransientX’s employees and cloud-native, dissolvable application networking technology to Deloitte’s Zero Trust and cybersecurity offerings to deepen its capabilities in ZTNA.

GI Partners, a San Francisco-based private investment firm, has agreed to acquire Sectigo, a digital identity and web security provider, from Francisco Partners. The deal will support Sectigo's global expansion and product innovation as GI Partners plans to accelerate growth through organic initiatives and M&A.

Hellman & Friedman, joined by TPG, has acquired Checkmarx at a $1.15 billion valuation in a buyout of the application-security leader. Insight Partners and K1 Investment Management remain minority shareholders; Checkmarx employs more than 700 people and serves over 1,400 customers worldwide.

FireMon has agreed to acquire Lumeta Corporation, integrating Lumeta’s real-time cyber situational awareness and network-discovery technology into the FireMon platform. The acquisition aims to extend FireMon’s intent-based security capabilities to previously unknown on‑premise and cloud assets, improving visibility and reducing enterprise attack surface.

Network Security Group (NSG), the cybersecurity distribution arm of Temprano Techvestors, acquired the software distribution and value-added resale division of New Jersey-based Waytek Software. The deal adds Waytek's Avast Business line to NSG's partner offerings while Waytek will concentrate on its managed services business.
