Jack Henry & Associates has entered into a definitive agreement to acquire Payrailz, a Glastonbury, Connecticut–based cloud-native, AI-enabled digital payments platform, to expand its payments capabilities. The acquisition strengthens Jack Henry's payments-as-a-service strategy by adding real-time P2P, bill pay, A2A, and other next-generation payment capabilities; financial terms were not disclosed.

NWI Enterprises (Harbour Group) Acquires RailFX

NWI Enterprises, a Harbour Group company, has acquired RailFX, a Tacoma-based manufacturer of specialty aluminum railing systems. The acquisition combines RailFX's branded railing products with NWI's Ultra-Tec infill offering to create a single-vendor railing solution for the lumber and building materials channel; terms were not disclosed.

EXA Capital Acquires MTW Solutions

Quarterhill Inc. Acquires Electronic Transaction Consultants (ETC)

Quarterhill Inc. completed the acquisition of 100% of Electronic Transaction Consultants, LLC (ETC), a Richardson, Texas-based intelligent transportation systems (ITS) and tolling provider, for C$150.0 million funded with C$75.0 million cash and C$75.0 million of syndicated debt. The deal gives Quarterhill a leading position in the U.S. tolling market, and Quarterhill expects ETC to generate C$95–120 million of annualized revenue (post-synergies) and C$12.5–15.0 million of Adjusted EBITDA within 12–18 months.

XTM, Inc. Acquires Tiproll Gratuity-Pooling Software

XTM, Inc. has acquired the assets of Tiproll, a gratuity-pooling and distribution calculation software, as an add-on to its Today payout platform. XTM will integrate and rebrand the technology (Today Tippool/Tippool) to provide automated tip-pooling and distribution for hospitality customers across North America, with commercial launch and integration planned in the near term.

BigTime Software Acquires WorkRails

BigTime Software has acquired WorkRails, a CPQ and workflow automation provider for professional services firms, to integrate CPQ functionality into its professional services automation platform. The acquisition expands BigTime’s product capabilities—linking sales quoting, project initiation, resource allocation, invoicing, and payments—to provide a unified end-to-end solution for mid-market professional services organizations. Terms were not disclosed and WorkRails leadership will remain in strategic roles.
