Avantor Acquires Masterflex Bioprocessing Business from Antylia Scientific

Avantor, Inc. agreed to acquire the Masterflex bioprocessing business and related assets from Antylia Scientific for $2.9 billion in an all-cash transaction (net purchase price approximately $2.7 billion after tax structure). Headquartered in Vernon Hills, Illinois, Masterflex is a manufacturer of peristaltic pumps and single-use fluid transfer technologies with estimated 2022 revenues of ~$300 million; the deal bolsters Avantor's single-use and bioproduction capabilities and is expected to be accretive to adjusted EPS in year one.

Audax Private Equity Acquires Avantor's Clinical Services Business, Rebrands it as Resonant Clinical Solutions

Audax Private Equity has completed the acquisition of Avantor, Inc.'s Clinical Services business and rebranded the business as Resonant Clinical Solutions. The divestiture—reported at roughly $650 million—transfers a global clinical trial services platform (EPL Archives, MESM, Therapak) to Audax, which plans to invest in organic and inorganic growth to expand capabilities for pharmaceutical, biotech, CRO, and diagnostic customers.

Bormioli Pharma Acquires Remy & Geiser GmbH (R&G)

Bormioli Pharma S.p.A., a Triton Fund IV-backed packaging specialist, has acquired Remy & Geiser GmbH (R&G), a German manufacturer of plastic and glass primary packaging for the pharmaceutical industry. The deal strengthens Bormioli Pharma's presence in Germany and Northern Europe, expands its product range (closures, dosing systems, pipette droppers and tubular glass vials) and adds manufacturing capacity (two plants in Altenfeld and Schleusingen; ~270 employees).
