High Tide Inc. has entered into a definitive agreement to acquire all intellectual property and related assets of the Canadian cannabis brand Queen of Bud for CA$1,000,000 (CA$100,000 cash and the remainder in High Tide common shares). Queen of Bud's founder Ashley Newman will remain involved as Global Brand Ambassador as High Tide integrates the brand into its in-house portfolio to expand its consumer product and ancillary offerings domestically and internationally.

High Tide Acquires Boreal Cannabis Company (Two Alberta Retail Stores)

(operating as Boreal Cannabis Company) for CAD$2.2 million plus inventory and cash, adding two retail cannabis stores in Slave Lake and St. Paul, Alberta. The acquisition expands High Tide’s brick-and-mortar footprint in northern Alberta and is expected to be accretive to its retail network.

High Tide Acquires Bud Room Inc. and Fastendr Technology

The stores generated CAD$7.6 million (annualized) and CAD$0.7 million annualized Adjusted EBITDA for the three months ended December 31, 2021; the purchase price represents ~3.5x annualized Adjusted EBITDA and expands High Tide's Ontario footprint.
