High Tide Acquires Queen of Bud Brand

High Tide Inc. has entered into a definitive agreement to acquire all intellectual property and related assets of the Canadian cannabis brand Queen of Bud for CA$1,000,000 (CA$100,000 cash and the remainder in High Tide common shares). Queen of Bud's founder Ashley Newman will remain involved as Global Brand Ambassador as High Tide integrates the brand into its in-house portfolio to expand its consumer product and ancillary offerings domestically and internationally.

High Tide Inc. agreed to acquire 100% of Livonit Foods Inc., which operates two Bud Heaven retail cannabis stores in Bracebridge, Ontario, for CAD$2.8 million paid in High Tide common shares. The acquisition expands High Tide's Canna Cabana footprint into Muskoka (cottage country), adding stores that generated CAD$4.7 million (annualized) and CAD$0.8 million adjusted EBITDA (annualized) for the three months ended Oct. 31, 2021; the deal is subject to customary regulatory approvals.

High Tide Acquires Boreal Cannabis Company (Two Alberta Retail Stores)

(operating as Boreal Cannabis Company) for CAD$2.2 million plus inventory and cash, adding two retail cannabis stores in Slave Lake and St. Paul, Alberta. The acquisition expands High Tide’s brick-and-mortar footprint in northern Alberta and is expected to be accretive to its retail network.

High Tide Acquires Crossroads Cannabis' Four Ontario Stores

High Tide Inc. Acquires 51% of Purecan GmbH

High Tide Inc. agreed to acquire a 51% stake in Frankfurt-based Purecan GmbH for approximately €4.8 million, gaining an import license for medical cannabis, warehousing and logistics infrastructure, and an in-development telemedicine portal. The majority-stake purchase positions High Tide to enter the German medical cannabis market and pursue broader European expansion, with an option to acquire the remaining interest over time.
