ADTRAN Holdings Closes Business Combination with ADVA Optical Networking SE

ADTRAN Holdings, Inc. announced the closing of its business combination with ADVA Optical Networking SE, making ADTRAN Holdings the parent company of ADTRAN and the majority shareholder of ADVA after tendered ADVA shares were exchanged. The companies said the deal creates a combined, global provider of fiber and optical networking solutions with an expanded product portfolio and increased scale to serve service providers, government and enterprise customers.

AAR CORP. Acquires American Distributors (ADI)

AAR CORP. acquired American Distributors Holding Co., LLC (ADI) for $146 million in an all-cash transaction funded via AAR's existing revolving credit facility. ADI, a distributor of high-performance electronic components and provider of supply chain and manufacturing services headquartered in Randolph, New Jersey with ~400 employees and six locations across the US, UK, and India, will join AAR's Parts Supply segment to expand new parts distribution, OEM relationships, and drive margin improvement.

Nautic Partners has formed Advanced Threat Response Holdings, Inc. (ATR), a PE-backed cybersecurity platform, and ATR simultaneously acquired Security On-Demand, Inc., a San Diego-based provider of managed threat detection and analytics. The acquisition will keep Security On-Demand's founder Peter Bybee in place and aims to scale SOD's ThreatWatch analytics and managed security services for regulated industries and government customers.
