Atlas Holdings has completed the acquisition of the Snacks Division of TreeHouse Foods for $90 million, establishing the business as Flagstone Foods headquartered in Minneapolis. The division, a leading private-label manufacturer and distributor of nuts, trail mixes and dried fruit with more than 800 associates and multiple U.S. plants, was sold as part of TreeHouse's plan to pay down debt and refocus its business.

Millstone Capital Advisors Acquires Native Foods

St. Louis-based private equity firm Millstone Capital Advisors has acquired Native Foods, a Chicago-based plant-focused fast-casual restaurant chain with 13 locations across California, Colorado, Oregon and Illinois. Millstone said the investment will provide resources to support Native Foods' expansion while maintaining the brand's plant-based mission and operations under existing management.

The deal is Atlantic Southern's first add-on and is intended to expand the platform's presence into the Western United States to better serve its national customer base.

Neptune Wellness Solutions acquired a 50.1% controlling interest in Sprout Foods (Sprout Organics) from investment funds managed by Morgan Stanley Expansion Capital, with MSEC becoming a major shareholder in Neptune. The deal includes $6M cash, ~6.74M Neptune shares (~$12M), and Neptune guaranteeing a $10M Sprout note; Neptune will operate Sprout as a subsidiary to accelerate growth across retail and e-commerce channels.
