The deal involved approximately $138 million in up-front cash plus an earn-out of up to $80 million tied to revenue targets.

ASG, a portfolio company of Alpine Investors that buys and builds vertical SaaS companies, has acquired PackageRoute, a last-mile delivery app that provides visibility and route/stop management for independent service providers and drivers. The acquisition is an add-on to ASG's Logistics Technology vertical and will be used to expand ASG's last-mile capabilities and accelerate product growth.

Descartes Systems Group acquired XPS Technologies, a Cottonwood Heights, Utah-based provider of cloud-based multi-carrier parcel shipping solutions, for approximately $65 million upfront plus up to $75 million in performance-based earn-outs. The acquisition expands Descartes' ecommerce shipping and fulfilment capabilities and brings XPS's network of more than 10,000 customers into Descartes' logistics SaaS portfolio.

GRO Acquires DigitalRoute from Neqst

Northern European private equity firm GRO has agreed to acquire DigitalRoute, a Stockholm-based leader in Usage Data Management software, from Swedish PE firm Neqst. The acquisition will support DigitalRoute's expansion and accelerate product development to capture growing demand for subscription- and usage-based billing and monetization across industries.
