An affiliate of Argo Infrastructure Partners, LP completed a merger to acquire Macquarie Infrastructure Holdings, LLC (MIC) for $4.11 per unit, with the transaction closing on July 21, 2022 and resulting in MIC’s delisting from the NYSE. The deal was presented as a take-private transaction to unlock value for equity holders; Lazard and Evercore served as financial advisors and White & Case as legal counsel to MIC.

A fund managed by Macquarie Asset Management agreed to acquire a 40% minority equity stake (with an option to increase to 49%) in select U.S. Gulf Coast infrastructure assets of Dow Inc., forming a new joint-venture platform called Diamond Infrastructure Solutions. The assets—site utilities, power and steam production, pipelines, environmental operations and storage—span five Dow sites in Texas and Louisiana; the transaction provides Dow with cash proceeds (approximately $2.4bn initially, up to ~$3.0bn if Macquarie increases to 49%) and creates a specialist infrastructure operator to serve Dow and third-party industrial customers.

Last Mile, one of the UK’s largest independent network owners that designs, builds, owns and operates last-mile electricity, gas, water and wastewater networks, will benefit from the partnership to support growth and energy-transition opportunities across the UK. The transaction remains subject to regulatory approvals.
