Macquarie Asset Management Acquires 50% Stake in Last Mile Infrastructure Group from Infracapital

Macquarie Asset Management (via Macquarie European Infrastructure Fund 7) has acquired a 50% stake in Last Mile Infrastructure Group from Infracapital, with Infracapital retaining the remaining 50%. Last Mile, one of the UK’s largest independent network owners that designs, builds, owns and operates last-mile electricity, gas, water and wastewater networks, will benefit from the partnership to support growth and energy-transition opportunities across the UK. The transaction remains subject to regulatory approvals.

A fund managed by Macquarie Asset Management agreed to acquire a 40% minority equity stake (with an option to increase to 49%) in select U.S. Gulf Coast infrastructure assets of Dow Inc., forming a new joint-venture platform called Diamond Infrastructure Solutions. The assets—site utilities, power and steam production, pipelines, environmental operations and storage—span five Dow sites in Texas and Louisiana; the transaction provides Dow with cash proceeds (approximately $2.4bn initially, up to ~$3.0bn if Macquarie increases to 49%) and creates a specialist infrastructure operator to serve Dow and third-party industrial customers.

Infracapital Acquires GB Railfreight from EQT-backed Hector Rail

Infracapital, the infrastructure equity arm of M&G, has agreed to acquire GB Railfreight Limited from EQT Infrastructure II via its portfolio company Hector Rail Group. GB Railfreight, headquartered in London with around 900 employees and a fleet of over 180 locomotives and 1,500 wagons, is the third-largest rail freight operator in the UK; the transaction is expected to close mid-October 2019.
