Gogo Inc. has agreed to acquire Satcom Direct for $375 million in cash plus five million shares of Gogo stock, with up to $225 million of additional earnout consideration tied to performance thresholds. The deal creates a multi-orbit, multi-band in-flight connectivity provider, expanding Gogo's global business aviation footprint and adding Satcom Direct's military/government capabilities and international sales/service presence.

GI Partners Acquires Rise Broadband

The acquisition adds GTB's VoIP, UCaaS and managed security capabilities and customer relationships in healthcare, legal and government verticals to Xtel's telecom, cloud and cybersecurity portfolio.

OneWeb Acquires TrustComm Inc.

OneWeb has entered into a definitive agreement to acquire TrustComm Inc., a Houston-based managed satellite communications and professional services provider, and will operate TrustComm as a newly acquired government-focused subsidiary. The acquisition is intended to enable OneWeb to offer its LEO network and connectivity services to U.S. government clients (including the DoD) and TrustComm customers; terms were not disclosed and the deal was expected to close in 2021.

GI Partners Acquires Vast Broadband

GI Partners, in partnership with industry veteran Rich Fish, has signed an agreement to acquire Vast Broadband, a Sioux Falls-based provider of gigabit broadband, video and phone services. Vast, currently owned by Pamlico Capital and Oak Hill Capital and serving over 60,000 residential and business customers across South Dakota and Minnesota, will be led by Rich Fish as incoming CEO with GI Partners investing from its Data Infrastructure Fund; the transaction remains subject to customary closing conditions and regulatory approvals.

GI Partners Acquires Atlas Technical Consultants for ~$1.05B

GI Partners has completed the acquisition of Atlas Technical Consultants in an all-cash transaction valued at approximately $1.05 billion, including outstanding debt. Atlas stockholders received $12.25 per share, Atlas common stock will be delisted, and the take-private is intended to accelerate growth under GI Partners’ ownership; Bernhard Capital Partners was the company’s leading investor prior to the sale.
