Calbee Acquires Warnock Food Products

Japanese snack maker Calbee, Inc. acquired Warnock Food Products, a Madera, California-based contract manufacturer of branded and private-label snack foods. Brown Gibbons Lang & Company served as exclusive financial advisor to Warnock; terms were not disclosed. Calbee said the purchase supports its expansion into the North American snack market and will leverage Warnock's product development and distribution capabilities.

Wakefern Food Corp. acquired the Di Bruno Bros. trademark and portfolio of branded specialty food products to expand national distribution, while DB Gourmet Markets, LLC (operated by Wakefern member Brown's Super Stores) acquired the five Di Bruno Bros. retail locations and a bottle shop. Wakefern said it will market the branded products nationally through a dedicated sales team and has appointed Emilio Mignucci as VP of the Di Bruno Bros. brand to preserve the company's culinary legacy.

The deal transfers Betty Lou's co-packing operations to Noble Foods while founder Betty Lou Carrier retains ownership of the Betty Lou's brand and will continue manufacturing at a new McMinnville facility.
