Brynwood Partners' Buitoni Food Company Acquires North American Buitoni Business from Nestlé USA

Brynwood Partners VIII L.P., through its newly formed portfolio company Buitoni Food Company, has entered into a definitive agreement to acquire the North American Buitoni business from Nestlé USA. The deal (terms undisclosed) includes a 240,000 sq. ft. manufacturing facility in Danville, Virginia with approximately 525 full-time employees and rights to the Buitoni brand in the U.S., Canada and the Caribbean; Buitoni Food Company will be headquartered in Stamford, Connecticut.

Commercial Bakeries Corp., a Graham Partners–backed private label cookie and cracker manufacturer, has acquired Hollandia Bakeries Ltd. and The Good Food Company Inc., adding a Mount Brydges, Ontario baking facility and additional cookie manufacturing and packaging capabilities. The transaction is an add-on to Commercial Bakeries’ platform, intended to expand manufacturing capacity and capabilities in the North American private-label cookie market.

Brynwood Partners Acquires Miracapo Pizza Company

Brynwood Partners IX L.P. has acquired Miracapo Pizza Company LLC from an affiliate of CC Industries, Inc. The deal includes Miracapo’s three Chicagoland manufacturing facilities and approximately 385 employees; terms were not disclosed. Brynwood said the acquisition expands its pizza manufacturing footprint and commercial capabilities in the private-label and frozen pizza retail channel.

Vandemoortele Acquires Majority Stake in Banneton Bakery

Vandemoortele, a family-owned European food group, has acquired a majority stake in Banneton Bakery, a New Jersey-based manufacturer of freezer-to-oven croissants, danishes, and other pastries. The transaction represents a full exit for Encore Consumer Capital; founders Victor and Alex Litinetsky remain investors and will continue to run day-to-day operations.

New Water Capital Acquires Klosterman Baking Company
