Solmax Acquires TenCate Geosynthetics from Koninklijke Ten Cate

Solmax has agreed to acquire TenCate Geosynthetics from Koninklijke Ten Cate, combining two leading global geosynthetics manufacturers. Caisse de dépôt et placement du Québec (CDPQ) and Fonds de solidarité FTQ are investing in the transaction to support Solmax's continued international expansion; the deal is expected to close in Q2 2021 subject to customary approvals.

Gexpro Services Acquires Resolux Group and Frontier Assets

Gexpro Services, part of Lawson Products, completed two acquisitions in Q1 2022: the purchase of Denmark-based Resolux Group and substantially all assets of Frontier Technologies Brewton, LLC (and certain assets of Frontier Engineering and Manufacturing Technologies Inc.). The deals (approximately $36M for Resolux and $30M for Frontier, inclusive of potential earn-outs) expand Gexpro’s manufacturing and supply-chain capabilities and broaden its global footprint in the renewable energy and OEM markets.

Pexco LLC Acquires Exlon Extrusion, Inc.

Pexco LLC, a North American specialty plastics extruder backed by AEA Investors, has acquired Exlon Extrusion, Inc., a Greensboro, North Carolina–based precision extruder of plastic tubing and recoil hose. The deal expands Pexco's capabilities in high-performance polymer (HPP) products and adds personnel, equipment and customer relationships across end markets such as telecommunications, pneumatics, textiles and automotive.

Liberty Oilfield Services Acquires PropX (Proppant Express Investments, LLC)

Liberty Oilfield Services Inc. acquired PropX (Proppant Express Investments, LLC), a Denver-based provider of last-mile proppant delivery equipment, logistics and software, in a transaction valued at approximately $90 million (cash and stock). The deal adds PropX's wet sand handling technology, proppant containers and PropConnect logistics software to Liberty's completion services offering to improve logistics efficiency and reduce emissions.

STEMCELL Technologies Acquires Propagenix Inc.

STEMCELL Technologies, Canada’s largest biotechnology company, acquired Propagenix Inc., a Gaithersburg, Maryland biotechnology firm focused on epithelial cell biology and its patented EpiX technology. The acquisition includes Propagenix’s assets, IP (including its Conditional Reprogramming license with Georgetown University) and existing business arrangements, enabling STEMCELL to develop EpiX-based products for clinical applications and expand its regenerative-medicine capabilities.

Lawson Products Completes Strategic Combination with TestEquity and Gexpro Services

Lawson Products, Inc. completed all-stock merger transactions to combine TestEquity and Gexpro Services into a specialty distribution platform under a holding company structure. Lawson issued an aggregate of 10.3 million shares (with up to 1.7 million additional earnout shares possible) to former owners affiliated with Luther King Capital Management Corporation and J. Bryan King, who collectively now own ~75% of Lawson; the company also amended and restated its credit agreement to support the combined platform and future acquisitions.
