Hempel Acquires Farrow & Ball

Hempel has agreed to acquire Farrow & Ball, the luxury decorative paint and wallpaper maker, from the private equity group of Ares Management. The deal furthers Hempel’s strategy to grow its branded decorative segment and expand Farrow & Ball’s global reach; the transaction is expected to close in H2 2021 subject to regulatory approvals.

Hydrofarm Holdings Group, Inc. agreed to acquire House & Garden, Inc. and affiliated entities for approximately $125 million, funded with existing cash, with the acquired businesses becoming wholly owned indirect subsidiaries. The acquisition expands Hydrofarm's branded nutrients portfolio (including the House & Garden and Mad Farmer brands), with House & Garden expected to generate about $55 million in 2021 net sales and the deal valuing the business at under 7x estimated 2021 adjusted EBITDA.

Cairngorm Capital Partners has acquired Fairalls (Builders' Merchants) Limited, adding it to its existing building merchant businesses Parkers Building Supplies and Stamco to create the largest independent builders' merchant group in the South East of England. The enlarged group operates 24 branches with over 500 employees and combined revenues of approximately £120 million; Fairalls itself reported c.£15m revenue and about 85 employees and will continue to trade under the Fairalls brand with Richard Fairall remaining involved during the transition.
