TELUS Increases Stake in TELUS Digital via Market Purchases

TELUS Corporation, through a wholly owned subsidiary, purchased 2,593,631 subordinate voting shares of TELUS International (Cda) Inc. ("TELUS Digital") on the Toronto Stock Exchange at an average price of C$4.90, representing a total additional investment of C$12.7 million. The purchases increased TELUS' subordinate voting stake by ~2.35 percentage points (to ~5.99% subordinate voting shares) and raised its overall ownership to approximately 57.7%; TELUS said the purchases reflect confidence in TELUS Digital's long-term growth and were made for investment purposes.

TELUS International Acquires WillowTree for US$1.225B

TELUS International has entered a definitive agreement to acquire WillowTree, a Charlottesville-based digital product consultancy, for a total enterprise value of US$1.225 billion. The acquisition, in which majority stakeholder Insignia Capital Group will sell its stake, expands TELUS International’s digital design and engineering capabilities, client roster and onshore/nearshore delivery footprint; the deal is expected to close in January 2023 subject to customary conditions.

TELUS Acquires LifeWorks Inc.

TELUS Corporation agreed to acquire all outstanding common shares of LifeWorks Inc. in a transaction valued at approximately C$2.9 billion including net debt. The deal (court-approved plan of arrangement) offers LifeWorks shareholders cash, share, or combination consideration and is intended to create a global leader in employer-focused digital and in-person health, wellbeing and mental-health services by combining TELUS Health and LifeWorks.

TELUS Digital Acquires Gerent, Salesforce-focused Consultancy

TELUS Digital has acquired Gerent, a U.S.-based Salesforce-focused consultancy, to expand its Salesforce implementation and agentic AI capabilities. The Gerent brand will be retired by the end of Q3 2025 and its services and personnel will be integrated into TELUS Digital to drive cross-sell opportunities and enhance CX automation offerings.
