Knight-Swift Acquires AAA Cooper Transportation

Knight-Swift Transportation Holdings Inc. acquired 100% of Dothan, Alabama-based AAA Cooper Transportation, a leading less-than-truckload (LTL) carrier. The $1.35 billion transaction (including assumed debt) is intended to provide Knight-Swift an LTL growth platform and is expected to be immediately accretive to adjusted EPS while preserving AAA Cooper's independent operations and leadership.

The deal expands Knight-Swift’s logistics and brokerage capabilities while preserving UTXL’s brand and independent operations and includes customary working capital adjustments and escrowed/deferred consideration.

Knight-Swift Acquires U.S. Xpress Enterprises for ~$808M

Knight-Swift Transportation Holdings agreed to acquire U.S. Xpress Enterprises for a total enterprise value of approximately $808 million, paying $6.15 per share; the transaction was approved by shareholders and closed on July 1, 2023. U.S. Xpress will continue to operate as a separate brand, with the Fuller family rolling over a portion of their equity into an approximately 10% interest in a new Knight-Swift subsidiary holding the business.

R&R Express Acquires Load to Ride (LTR)

The acquisition expands Knight-Swift's less-than-truckload (LTL) footprint across roughly 15 states in the upper midwestern and great northwestern United States; MME reported approximately $137 million of 2021 revenue and ~800 employees.
