Woodland Foods Acquires Idan Foods

Woodland Foods, a Waukegan, Illinois-based provider of plant-based specialty ingredients and a portfolio company of Graham Partners, has acquired Idan Foods, a Hawthorne, New Jersey-based manufacturer of breadings, batters, coating systems, baking mixes, and seasonings. The acquisition is a strategic add-on to Woodland’s platform intended to expand its finished-product offerings, R&D and manufacturing capabilities, and customer reach across foodservice and industrial channels; The DAK Group served as advisor to Idan Foods' owners.

Solina Acquires Zafron Foods

Solina has acquired Zafron Foods from the Kenny family, integrating the London-based sauces and condiments manufacturer into its sauce platform. The deal adds Zafron’s two UK manufacturing sites, recognized brands (Kenny's, Zafron, Kromberg), and a 65-employee operation with ~£23m in sales to Solina’s global portfolio to accelerate capability and product offering in custom sauces and liquid solutions.

Alantra acted as exclusive financial advisor to Garden-Fresh; the family owners (Tom and Vicki Hughes and their sons) and CEO John Colapinto will remain involved after the sale, and the deal brings together two prepared-salad manufacturers to expand scale and capabilities in refrigerated ready-to-eat foods.

Somera Private Equity and e2p Acquire Ty-Gard and Shock-Gard to Form Gardian Holdings

Somera Private Equity, alongside strategic partner Entrepreneurial Equity Partners (e2p), acquired a majority stake in the businesses that develop and manufacture the Ty-Gard and Shock-Gard product lines and formed Gardian Holdings LLC, headquartered in Dallas, Texas. Matthew Bullock will retain a significant equity stake and remain CEO, while PSP (PSP Capital Partners) took a minority investment to support growth and product development across Gardian's cargo-securement and protective packaging offerings.

Hydrofarm Acquires House & Garden

Hydrofarm Holdings Group, Inc. agreed to acquire House & Garden, Inc. and affiliated entities for approximately $125 million, funded with existing cash, with the acquired businesses becoming wholly owned indirect subsidiaries. The acquisition expands Hydrofarm's branded nutrients portfolio (including the House & Garden and Mad Farmer brands), with House & Garden expected to generate about $55 million in 2021 net sales and the deal valuing the business at under 7x estimated 2021 adjusted EBITDA.
