Ipsen Acquires Epizyme

Ipsen has completed the acquisition of Epizyme, Inc., acquiring all outstanding shares for $1.45 per share plus a $1.00 contingent value right and bringing Epizyme's approved oncology drug Tazverik and preclinical/clinical pipeline into Ipsen. The deal adds epigenetics-focused assets including the approved EZH2 inhibitor tazemetostat and the SETD2 inhibitor candidate EZM0414 to Ipsen's oncology portfolio and integrates Epizyme employees into Ipsen's organization.

Boehringer Ingelheim Acquires Nerio Therapeutics

Boehringer Ingelheim agreed to acquire Nerio Therapeutics, a San Diego-based preclinical biotech focused on PTPN2/N1 phosphatase inhibitors for immuno-oncology, for up to $1.3 billion. Nerio was invested/incubated by Viva BioInnovator and backed by a syndicate including Avalon Ventures; the deal is intended to accelerate development of Nerio’s preclinical program as a cornerstone of Boehringer’s immuno-oncology portfolio.

Halozyme Acquires Antares Pharma for $960M

Halozyme Therapeutics will acquire Antares Pharma for $5.60 per share in cash, valuing Antares at approximately $960 million. The deal, approved unanimously by both boards, is intended to expand Halozyme's drug delivery capabilities by adding Antares' auto-injector platform and commercial specialty products and is expected to be accretive to Halozyme's 2022 revenue and non-GAAP earnings.

Innova Therapeutics Acquires Enci Therapeutics

Innova Therapeutics has completed the acquisition of Enci Therapeutics, adding Enci’s lead oncology program, IVT-8086, a first-in-class humanized monoclonal antibody targeting SFRP2, to its development pipeline. Financial terms were not disclosed; Innova said the program and associated IP (patents through at least 2042) will support development across multiple solid and hematologic cancers and a companion diagnostic is in development.

Innoviva Acquires Entasis Therapeutics

Innoviva, Inc. agreed to acquire all outstanding shares of Entasis Therapeutics it did not already own for $2.20 per share in cash, valuing Entasis' equity at approximately $113 million on a fully diluted basis. The transaction makes Entasis a wholly owned subsidiary of Innoviva and advances Innoviva's strategy to expand into differentiated late-stage biopharmaceutical assets, including Entasis' lead antibacterial candidate SUL-DUR.

Invaio Sciences Acquires Peptyde Bio

The deal brings Peptyde Bio’s peptide discovery platform and IP into Invaio’s AI-enabled discovery engine and biological delivery systems to accelerate nature-positive crop protection solutions.
