Boehringer Ingelheim Acquires Nerio Therapeutics

Boehringer Ingelheim agreed to acquire Nerio Therapeutics, a San Diego-based preclinical biotech focused on PTPN2/N1 phosphatase inhibitors for immuno-oncology, for up to $1.3 billion. Nerio was invested/incubated by Viva BioInnovator and backed by a syndicate including Avalon Ventures; the deal is intended to accelerate development of Nerio’s preclinical program as a cornerstone of Boehringer’s immuno-oncology portfolio.

Innoviva Acquires Entasis Therapeutics

Innoviva, Inc. agreed to acquire all outstanding shares of Entasis Therapeutics it did not already own for $2.20 per share in cash, valuing Entasis' equity at approximately $113 million on a fully diluted basis. The transaction makes Entasis a wholly owned subsidiary of Innoviva and advances Innoviva's strategy to expand into differentiated late-stage biopharmaceutical assets, including Entasis' lead antibacterial candidate SUL-DUR.

Incyte Acquires Escient Pharmaceuticals

Incyte has agreed to acquire Escient Pharmaceuticals for $750 million plus Escient's net cash, adding two first‑in‑class oral MRGPR antagonists (EP262 and EP547) to its inflammation and autoimmunity portfolio. The acquisition, subject to customary closing conditions and HSR clearance, expands Incyte's pipeline in dermatology, chronic urticaria and pruritus with expected closing in 3Q 2024.

Sorrento Therapeutics Acquires ACEA Therapeutics

Sorrento Therapeutics completed the acquisition of ACEA Therapeutics, making ACEA a wholly owned subsidiary and issuing Sorrento common stock plus contingent milestone and royalty payments. The deal adds multiple clinical- and preclinical-stage new chemical entities (including abivertinib) to Sorrento's oncology and immunotherapy pipeline and expands its development and manufacturing footprint in China and North America.

Eilean Therapeutics Acquires Ness Therapeutics

The acquisition expands Eilean’s immuno-oncology pipeline and capabilities in small-molecule inhibitors targeting resistance mechanisms in hematologic and solid malignancies.

BioIVT Acquires ZenBio

The deal strengthens BioIVT's service portfolio and complements recent integrations to accelerate support for drug discovery and cosmeceutical development; financial terms were not disclosed.
