Ionis Pharmaceuticals to Acquire Remaining Stake in Akcea Therapeutics

Ionis Pharmaceuticals agreed to acquire the approximately 24% of Akcea Therapeutics it does not already own for $18.15 per share in cash, implying a fully diluted transaction value of about $500 million. The deal will be executed via a tender offer followed by a second-step merger, and Ionis expects to complete the transaction in Q4 2020 to consolidate Akcea's pipeline, commercial products and cash while realizing cost synergies.

Boehringer Ingelheim Acquires Nerio Therapeutics

Boehringer Ingelheim agreed to acquire Nerio Therapeutics, a San Diego-based preclinical biotech focused on PTPN2/N1 phosphatase inhibitors for immuno-oncology, for up to $1.3 billion. Nerio was invested/incubated by Viva BioInnovator and backed by a syndicate including Avalon Ventures; the deal is intended to accelerate development of Nerio’s preclinical program as a cornerstone of Boehringer’s immuno-oncology portfolio.

Amgen Acquires ChemoCentryx

Amgen agreed to acquire ChemoCentryx for $52 per share in cash (approximately $3.7 billion enterprise value), gaining TAVNEOS (avacopan), a first-in-class oral therapy for ANCA-associated vasculitis. The deal, unanimously approved by both boards, is intended to strengthen Amgen's inflammation and nephrology portfolio and is expected to close following stockholder and regulatory approvals.

Valerio Therapeutics Acquires Emglev Therapeutics

Valerio Therapeutics S.A. completed the acquisition of Emglev Therapeutics on September 29, 2024, transferring Emglev's proprietary synthetic single-domain antibody (sdAb) platform into a newly formed Valerio subsidiary, Valour Bio. The deal was structured as a cash sale of shares combined with a contribution-in-kind (Emglev shares exchanged for Valour Bio shares), making Emglev shareholders shareholders of Valour Bio and positioning Valour Bio to advance sdAb discovery and development across oncology and inflammatory/autoimmune indications.

Innova Therapeutics Acquires Enci Therapeutics

Innova Therapeutics has completed the acquisition of Enci Therapeutics, adding Enci’s lead oncology program, IVT-8086, a first-in-class humanized monoclonal antibody targeting SFRP2, to its development pipeline. Financial terms were not disclosed; Innova said the program and associated IP (patents through at least 2042) will support development across multiple solid and hematologic cancers and a companion diagnostic is in development.

BioNTech Acquires Neon Therapeutics

BioNTech SE will acquire Neon Therapeutics, Inc. in an all-stock transaction valued at approximately $67.0 million. Neon, a Cambridge-based developer of neoantigen-targeted T cell therapies, will become a wholly owned subsidiary of BioNTech to expand BioNTech’s T cell therapy capabilities and U.S. presence.
