Orion Innovation, a One Equity Partners portfolio company, has acquired Zodiac Systems, a New York–based video service delivery software company. The deal adds Zodiac's Matrix API management cloud platform and Zodiac Stack device software — and their significant proprietary IP and revenues — to Orion's telecommunications and media capabilities as part of Orion's ongoing inorganic growth plan.

Zencoder Acquires Machinet

Zencoder has acquired Machinet, a developer of context-aware AI coding assistants with more than 100,000 JetBrains IDE downloads, to strengthen its JetBrains integration and unit-testing capabilities. Machinet's domain and marketplace presence will be migrated to Zencoder and existing Machinet users will be guided to transition to Zencoder's platform.

AMD Acquires ZT Systems to Expand Data Center AI Systems Capabilities

AMD has signed a definitive agreement to acquire ZT Systems for $4.9 billion in a cash-and-stock deal (including up to $400 million contingent payment). The acquisition brings ZT Systems' hyperscale data center systems design, integration and manufacturing capabilities into AMD's Data Center Solutions Business Group to accelerate AMD's AI training and inference infrastructure offerings.

Zebra Technologies Acquires Matrox Imaging

Zebra Technologies announced the acquisition of Matrox Imaging (Matrox Electronic Systems Ltd.), a developer of machine vision hardware and software, for $875 million to broaden its industrial machine vision and automation offerings. The deal expands Zebra’s software, machine learning and fixed industrial scanning capabilities and is expected to close in 2022 after customary approvals.

Sylogist Ltd. Acquires Municipal Accounting Systems (MAS)

Sylogist Ltd. (TSXV: SYZ), through its subsidiary Sylogist USA Inc., acquired Municipal Accounting Systems, Inc. (MAS), an Oklahoma-based provider of K-12 student information and school accounting software, for CAD 37.8 million (subject to working capital adjustments). The deal is immediately accretive to Sylogist, expands its K-12 SaaS offerings (MAS serves ~85% of Oklahoma districts and ~500 districts overall), and was financed with 50% cash and the remainder drawn on Sylogist's credit facility as the company simultaneously expanded that facility to CAD 75 million.
