Branford Castle Partners has acquired Fibrix Filtration, a Charlotte-based manufacturer of high-loft and pleat media air filtration products, in a majority-control buyout that closed on August 13. Financing included senior debt from Byline Sponsor Finance and subordinated debt and an equity co-investment from Brookside Mezzanine Partners; Fibrix CEO Keith White remains in leadership and participated in the transaction.

Brookside Mezzanine Partners provided subordinated debt and minority equity to ABCOM Technology Group, a portfolio company of Dubin Clark & Company, to facilitate the recapitalization and combination with SmartSource Holdings LLC. The transaction expands ABCOM’s geographic footprint (to 26 offices in 21 markets) and strengthens its technology rental, digital signage and asset management capabilities across North America.

Branford Castle Partners Acquires Hoffman Engineering

Branford Castle Partners has acquired Hoffman Engineering, a Stamford-based maker of night-vision test equipment, imaging lighting systems and commercial aviation LED specialty lighting, from Trident Maritime Systems. The transaction was financed with senior debt from O2 Sponsor Finance and mezzanine debt and an equity co-investment from Brookside Capital Partners; Hoffman’s management team will remain in place and terms were not disclosed.

Fibrix Filtration (backed by Branford Castle) Acquires Americo Manufacturing; Forms Clean Solutions Group

Fibrix Filtration, a portfolio company of Branford Castle Partners, has acquired Americo Manufacturing Co. from Blue Sage Capital and the founding Rones family and combined the two businesses under a new holding company, Clean Solutions Group. Brookside Capital Partners (subordinated debt and equity) and Byline Bank provided financing to support the transaction; Americo is a Georgia-based manufacturer of sustainable nonwoven floor pads, hand pads and matting.

Branford Castle Partners Acquires Testek Solutions

Branford Castle Partners, a North American-focused private equity firm, has acquired Testek Solutions, a Wixom, Michigan-based manufacturer of proprietary aviation component testing equipment, from a fund managed by Odyssey Investment Partners. Testek will serve as a platform investment for Branford Castle's Fund II, with existing management, including CEO Bruce DeWitt, remaining in place; financial terms were not disclosed.

MiddleGround Capital Acquires A.M. Castle & Co. and Combines It with Banner Industries

MiddleGround Capital has acquired A.M. Castle & Co. (Castle Metals) and, via a $440 million continuation vehicle (MiddleGround Carbon CV, L.P.), combined Castle with its Banner Industries platform to create a larger specialty metals distribution and processing platform. The transaction brings Castle's global metals processing and distribution footprint together with Banner's precision bar and medical metals capabilities to expand capabilities, geographic reach and end-market exposure in aerospace, industrial and medical sectors.
