i-80 Gold Acquires Getchell Project Owner Osgood Mining from Waterton

i-80 Gold Corp., through its wholly owned Delaware subsidiary Premier Gold Mines USA, Inc., completed the acquisition of all membership interests of Osgood Mining Company LLC — owner of the Getchell Project near Winnemucca, Nevada — from affiliates of Waterton Global Resource Management. Consideration included US$23.0 million cash (part of a US$50 million package of cash, shares, warrants and contingent value rights), 13,036,846 common shares, warrants and contingent payments tied to production milestones; i-80 plans an extensive drill program and a PEA for the project.

Alamos Gold Acquires Orford Mining

Alamos Gold Inc. agreed to acquire all issued and outstanding shares of Orford Mining Corporation by way of a court-approved plan of arrangement, consolidating Alamos' existing ~27.5% stake and adding the Qiqavik Gold Project and other Quebec exploration assets to its pipeline. The transaction values the remaining Orford shares at approximately C$16 million in Alamos common shares and gives Alamos 100% ownership of Orford's gold and critical-mineral projects, including Qiqavik, West Raglan interests, the Joutel Properties and Nunavik Lithium.

An affiliate of private equity firm First Reserve has agreed to acquire all outstanding shares of The Goldfield Corporation for $7.00 per share in cash via a tender offer, implying an enterprise value of approximately $194 million. Goldfield, a U.S.-based provider of electrical transmission and distribution maintenance services, will be taken private in a transaction unanimously approved by Goldfield's board and expected to close by January 2021.

(Nasdaq: USAU) has completed an all-share acquisition of Northern Panther Resource Corporation, a newly formed Nevada corporation whose principal asset is the Challis Gold Project in Idaho. The transaction adds a drill-ready exploration project and approximately $2.5 million in cash to U.S. Gold Corp., and was accompanied by concurrent preferred-stock financings that could bring up to $8.0 million of additional capital; several Northern Panther shareholders (including George Bee and Robert Schafer) became shareholders of U.S. Gold.
