Equinox Gold Acquires Premier Gold Mines; i-80 Gold Spin-Out Created

Equinox Gold Corp. completed its acquisition of Premier Gold Mines Limited, adding Premier's producing Mercedes Mine in Mexico and the construction-ready Hardrock (Greenstone) project in Ontario to Equinox's portfolio. In connection with the deal, Premier's U.S. assets were spun out into a newly created company, i-80 Gold Corp., in which Equinox holds a 30% stake.

Equinox Gold completed the sale of its Brazil Operations — the Aurizona Mine, RDM Mine and Bahia Complex — to a subsidiary of CMOC Group for total consideration of up to US$1.015 billion (US$900 million cash up front plus up to US$115 million contingent). The proceeds will be used to repay a $500 million term loan and a $300 million Sprott loan, reducing Equinox Gold's net debt to approximately US$150 million and refocusing the company on its North American growth assets.

The deal takes Probe private, will lead to delisting from the TSX, and gives Fresnillo entry into Canada with Probe's Novador project and a ~10Moz gold resource base and a 1,798 km² exploration land package in Quebec.
