Fresnillo plc Acquires Probe Gold Inc.

Fresnillo plc, through its wholly-owned affiliate Fresnillo Quebec Acquisition Inc., has completed the acquisition of Probe Gold Inc. for C$3.65 per share (approximately CA$770 million). The deal takes Probe private, will lead to delisting from the TSX, and gives Fresnillo entry into Canada with Probe's Novador project and a ~10Moz gold resource base and a 1,798 km² exploration land package in Quebec.

Gold Fields Limited, through a 100% owned Canadian subsidiary, agreed to acquire all issued and outstanding common shares of Osisko Mining Inc. for C$4.90 per share in an all-cash transaction valued at approximately C$2.16 billion, representing a ~55% premium. The deal (plan of arrangement) consolidates Gold Fields’ ownership of the advanced-stage Windfall gold project and is expected to close in Q4 2024 subject to customary court and regulatory approvals.

Alamos Gold Inc. agreed to acquire all issued and outstanding shares of Orford Mining Corporation by way of a court-approved plan of arrangement, consolidating Alamos' existing ~27.5% stake and adding the Qiqavik Gold Project and other Quebec exploration assets to its pipeline. The transaction values the remaining Orford shares at approximately C$16 million in Alamos common shares and gives Alamos 100% ownership of Orford's gold and critical-mineral projects, including Qiqavik, West Raglan interests, the Joutel Properties and Nunavik Lithium.

Hochschild Mining PLC has agreed to acquire all outstanding shares of Amarillo Gold Corporation in a court-approved plan of arrangement. Amarillo shareholders will receive C$0.40 cash per share plus one share of a newly formed Lavras SpinCo (capitalized with C$10 million) that will hold Amarillo's Lavras do Sul project; the total transaction value is approximately C$164.5 million (excluding Lavras SpinCo assets).
