Shift4 Payments completed a tender offer through its subsidiary GT Holding 1 GmbH to acquire Global Blue Group Holding AG for $7.50 per share, receiving valid tenders representing approximately 97.37% of outstanding shares. Shift4 will integrate Global Blue's tax-free shopping, dynamic currency conversion and payments technology into its commerce platform to expand capabilities and global merchant reach; Ant International and Tencent will become strategic partners in the combined ecosystem.

Global Payments Acquires Worldpay in Three-Way Transaction with FIS and GTCR

Global Payments has completed the acquisition of Worldpay from GTCR and FIS for $24.25 billion in cash and stock as part of a three-way transaction that also saw FIS acquire Global Payments' Issuer Solutions business for $13.5 billion. GTCR will receive a mix of cash and Global Payments stock and will retain approximately 15% ownership in the combined company; the transactions reposition Global Payments as a leading pure-play commerce solutions provider and bolster FIS' issuing capabilities.

Global Blue Receives $225M Growth Investment from Certares and Knighthead

Global Blue Group Holding AG agreed to a $225 million strategic growth equity investment from CK Opportunities (co-managed by Certares and Knighthead). The capital — $180 million in Series B preferred and $45 million in common stock — will give the investor just over 13% on a fully diluted basis and will be used to fund working capital and pursue strategic add-on acquisitions in omnichannel retail technology.

Shift4 Acquires SpotOn Sports & Entertainment Unit for $100M

Shift4 Payments purchased SpotOn’s sports and entertainment business unit for $100 million in cash, acquiring the unit’s customers, some employees and certain technology assets while SpotOn retains and licenses source code for restaurant use. The deal expands Shift4’s presence in the stadiums/venues vertical by adding marquee clients and technology to bundle POS, mobile ordering and payments for sports and entertainment venues.
