Sunoco LP Acquires Parkland Corporation

Sunoco LP, through its purchaser 2709716 Alberta ULC, completed the acquisition of Parkland Corporation on October 31, 2025. Parkland shareholders received a mix of cash and units in SunocoCorp (with aggregate consideration of approximately C$3.46 billion and 51,517,198 SunocoCorp units), and Parkland shares are being withdrawn from the Toronto Stock Exchange while SunocoCorp units will begin trading on the New York Stock Exchange.

Parkland Corporation, through its wholly owned U.S. subsidiaries (Parkland USA), agreed to acquire all assets of Sevier Valley Oil Company, Inc. (SVO), a Richfield, Utah–based retail and commercial fuel business. The deal adds seven company retail locations, more than 20 retail dealers and approximately 350 million litres of annual fuel and petroleum product volume, expanding Parkland's U.S. retail and distribution footprint in southern Utah and the surrounding Rockies region.

The transaction expands 7-Eleven's U.S. footprint and brings the Stripes and Laredo Taco Company brands under the 7-Eleven corporate family.

Parkland Corporation Acquires Conrad & Bischoff Inc.

Parkland Corporation, through its U.S. subsidiaries (Parkland USA), has entered into an agreement to acquire Conrad & Bischoff Inc., establishing a fourth U.S. Regional Operating Center in Idaho Falls, Idaho. The acquisition adds 58 retail sites (19 company-owned), terminal storage capacity (~30 million litres), and approximately 700 million litres of annual fuel and petroleum product volume, expanding Parkland's supply optionality and presence across Idaho and western Wyoming with distribution reach into neighboring states.

ConocoPhillips has acquired Marathon Oil Corporation in an all-stock transaction (0.2550 COP shares per Marathon share) with an enterprise value of $22.5 billion (including $5.4 billion of net debt). The deal, approved by Marathon shareholders and completed in November 2024, expands ConocoPhillips' U.S. Lower 48 portfolio, is immediately accretive, and is expected to deliver significant cost and capital synergies.
