Bayou City Hemp Company Acquires LeafLife Wellness

Bayou City Hemp Company, Inc., a Houston-based hemp processing and extraction company, has completed the acquisition of Leaf Life, Inc. (LeafLife Wellness), a Dallas-based CBD retail company that formulates, manufactures and distributes CBD-infused skincare, cosmetics and wellness products. The acquisition vertically integrates Bayou City Hemp’s supply chain—LeafLife will use Bayou City Hemp distillate and isolate—and expands the acquirer’s retail, white-label and online distribution capabilities; the deal is expected to be accretive to earnings.

Jushi Holdings Inc. Acquires NuLeaf, Inc.

Jushi Holdings Inc. completed the acquisition of Nevada-based NuLeaf, Inc., purchasing its retail dispensaries, a 27,000 sq. ft. cultivation facility and a 13,000 sq. ft. processing facility for up to US$53.6 million. The deal expands Jushi's Nevada retail footprint to four dispensaries and strengthens its cultivation and manufacturing capabilities in the state.

Neptune Wellness Solutions Acquires Controlling Interest in Sprout Foods

Neptune Wellness Solutions acquired a 50.1% controlling interest in Sprout Foods (Sprout Organics) from investment funds managed by Morgan Stanley Expansion Capital, with MSEC becoming a major shareholder in Neptune. The deal includes $6M cash, ~6.74M Neptune shares (~$12M), and Neptune guaranteeing a $10M Sprout note; Neptune will operate Sprout as a subsidiary to accelerate growth across retail and e-commerce channels.

High Tide Inc. Acquires 80% of NuLeaf Naturals

Financial terms were not disclosed; Solmetex is PE-backed by investors including GTCR, AGIC Capital, Avista Healthcare Partners, and Gemini Investors.

HempFusion Wellness Acquires Sagely Naturals

(Sagely Naturals), bringing the premium CBD brand and its distribution in more than 14,000 retail locations into HempFusion's portfolio. The all‑stock-and-cash transaction values the initial consideration at US$25.0 million with up to a US$5.0 million revenue-based earnout, and is expected to materially expand HempFusion's revenue and retail footprint.
