Covenant Testing Technologies has combined with Stuart Pressure Control in an equity-for-equity transaction that creates a larger independent well flowback and pressure control platform serving major U.S. shale basins. The combined business is owned by Catapult Energy Services Group (an NGP / NGP Energy Technology Partners portfolio company) alongside affiliates of White Deer Energy and will expand pressure control, flowback, sand management and related services across the Permian, DJ, Eagle Ford and Haynesville.

The proposed consideration includes 12 million SCAC Class A shares, $120 million in cash or notes, and an earnout of up to 3 million additional shares contingent on 2023 EBITDA; the deal is intended to close following definitive agreement and approvals.
