PartnerOne has acquired Cincom Systems, bringing the 56-year-old enterprise software provider into PartnerOne's portfolio. Cincom — a provider of CPQ, customer communications management (CCM), business application and development software and services for Global 1000 and mid-market customers — will be led by Brian Bish as CEO and will operate within the PartnerOne enterprise software group.

Partner One to Acquire SeaChange International's Product and Services Assets

An affiliate of Partner One will acquire substantially all of SeaChange International’s product and services assets for a purchase price of $30 million, less SeaChange's cash and cash equivalents at closing. The asset sale is expected to close in SeaChange’s fiscal 2025 first quarter, subject to shareholder approvals, and SeaChange expects net proceeds of approximately $13–15 million while retaining its cash and NOLs.

Alliance Data Spins Off LoyaltyOne Into Public Company Loyalty Ventures

Alliance Data Systems completed the previously announced separation of its LoyaltyOne segment into an independent, publicly traded company called Loyalty Ventures (ticker: LYLT). The separation was executed via a pro rata distribution of 81% of Loyalty Ventures shares to Alliance Data shareholders, with Alliance Data retaining 19% to divest later; the move was intended to simplify Alliance Data’s business and allow each company to focus on its core strategy.

ConvergeOne Acquires Integration Partners Corporation

ConvergeOne, a services-led cloud technology solution provider headquartered in Bloomington, Minnesota, acquired Integration Partners Corporation, a Lexington, Massachusetts-based team that designs and implements collaboration, networking, data center and cybersecurity solutions. The deal expands ConvergeOne's presence in New England and the Midwest and integrates Integration Partners' engineering and managed services capabilities with ConvergeOne's cloud and collaboration offerings.

Goldman Sachs Asset Management Acquires CarltonOne from H.I.G. Growth Partners

Goldman Sachs Asset Management has acquired CarltonOne Engagement (CarltonOne), a Markham, Ontario–based SaaS engagement and e-commerce platform for employee recognition, customer loyalty, rewards and sales/channel incentive programs. The sale represents H.I.G. Growth Partners' exit after investing in CarltonOne in 2017 and helping the company scale—during H.I.G.'s ownership CarltonOne grew revenues ~4x and increased EBITDA over 6x.

New Capital Partners Makes Growth Investment in LoyaltyExpress

Private equity firm New Capital Partners has made a growth investment in LoyaltyExpress, a Woburn, Massachusetts-based provider of marketing automation and cloud-based CRM solutions for banks and mortgage companies.
