SMG Industries Acquires Barnhart Transportation Suite

Houston-based SMG Industries (SMGI) has acquired the Barnhart Transportation suite of businesses — including Barnhart Transportation, Barnhart Fleet Maintenance, Lake Shore Logistics, Lake Shore Global Solutions, Legend Equipment Leasing and Route 20 Tank Wash — in a transaction valued at roughly $53.3 million. The deal, structured with cash, stock options and a promissory note, brings a diversified set of trucking, LTL, intermodal, fleet maintenance and tank-wash capabilities into SMGI and is expected to materially increase the combined company's revenue and cross-selling opportunities.

Pangaea Logistics Solutions Ltd. completed a combination transaction with Strategic Shipping Inc., issuing 18,059,342 shares (approximately 27.6% of outstanding stock) to SSI in exchange for fifteen handy-size dry bulk vessels. The vessels were valued at approximately $271 million at closing (inclusive of $100 million of vessel financing assumed), and the deal closed following shareholder approval on December 30, 2024.

TFI International Acquires Siemens Transportation Group and Hot Line Freight Systems

TFI International announced it has agreed to acquire Siemens Transportation Group (STG) and has completed the acquisition of Hot Line Freight Systems to expand its Less-Than-Truckload (LTL) footprint across Canada and the United States. STG, a family-owned Saskatoon-based LTL operator with roughly C$150 million in annual revenue and 15 terminals, will remain managed by Doug Siemens; Hot Line, a Wisconsin-based specialized LTL provider with nearly 200 employees and 14 terminals, will be managed by Paul Burgmeier under TFI's LTL segment.
