SMG Industries Acquires 5J Oilfield Services and 5J Trucking

SMG Industries, Inc. acquired 100% of membership interests in 5J Oilfield Services LLC and 5J Trucking LLC, closing on February 27, 2020. The acquisition expands SMG's midstream logistics and rig-move capabilities across the Southwest U.S., is immediately accretive, and increases projected 2020 revenues to roughly $60–64 million.

Sheer Logistics Acquires CargoBarn

Sheer Logistics has acquired tech-enabled 3PL and freight brokerage CargoBarn to deepen its 3PL/managed transportation and freight brokerage capabilities. The deal expands Sheer's geographic footprint (adding CargoBarn offices in Fresno, Atlanta, Dallas and Jacksonville) and strengthens its ability to offer managed services and brokerage specialty lanes; terms were not disclosed.

American Storage & Logistics (BMH Equipment) Acquires Binghamton Material Handling and Granite Industrial

Michigan-based American Storage & Logistics (rebranding to BMH Equipment LLC) has acquired Binghamton Material Handling and Granite Industrial to expand its product lines, service capabilities, and regional reach across the Northeastern United States. The acquirer plans to rebrand the businesses under the BMH Equipment umbrella and consolidate inventory into a single e-commerce platform to speed delivery and unify offerings.

STG Logistics Acquires XPO Logistics' Intermodal Division

STG Logistics, a Wind Point Partners portfolio company, acquired the intermodal division of XPO Logistics and will operate the combined business as STG Logistics. The transaction created a vertically integrated port-to-door containerized logistics provider and was accompanied by a recapitalization of STG by Wind Point and funds managed by Oaktree Capital Management; financing was led by Antares Capital and other lenders.

Pangaea Logistics Solutions Completes Fleet Combination with Strategic Shipping Inc.

Pangaea Logistics Solutions Ltd. completed a combination transaction with Strategic Shipping Inc., issuing 18,059,342 shares (approximately 27.6% of outstanding stock) to SSI in exchange for fifteen handy-size dry bulk vessels. The vessels were valued at approximately $271 million at closing (inclusive of $100 million of vessel financing assumed), and the deal closed following shareholder approval on December 30, 2024.

TFI International Acquires Siemens Transportation Group and Hot Line Freight Systems

TFI International announced it has agreed to acquire Siemens Transportation Group (STG) and has completed the acquisition of Hot Line Freight Systems to expand its Less-Than-Truckload (LTL) footprint across Canada and the United States. STG, a family-owned Saskatoon-based LTL operator with roughly C$150 million in annual revenue and 15 terminals, will remain managed by Doug Siemens; Hot Line, a Wisconsin-based specialized LTL provider with nearly 200 employees and 14 terminals, will be managed by Paul Burgmeier under TFI's LTL segment.
