Erik, Pete, Jamie Nordstrom and other members of the Nordstrom family, together with Mexican retailer El Puerto de Liverpool, completed an all-cash acquisition of Nordstrom, Inc. at $24.25 per share. The transaction delists Nordstrom from the NYSE and transfers control to the Nordstrom family and Liverpool, with Erik and Pete Nordstrom named Co-CEOs.

Ermenegildo Zegna N.V. acquired the remaining 85% equity interest in Tom Ford International LLC (TFI) — a stake valued at $150 million on a cash-free, debt-free basis — and will operate the TOM FORD fashion business under a long-term license from The Estée Lauder Companies. In the same transaction The Estée Lauder Companies became the sole owner of the TOM FORD brand and associated intellectual property; Zegna will run end-to-end TOM FORD FASHION (design, production, retail and wholesale) under a 20-year licensing agreement.

Norvestor Acquires Majority Stake in Pearl Group

A fund advised by Norvestor Advisory AS has agreed to acquire a c.52% majority stake in Pearl Group, a Nordic IT solutions and ERP partner headquartered in Lysaker, Norway. The investment provides Pearl with expansion capital to grow organically and via M&A while the existing management and key employees retain a significant minority stake and reinvest proceeds.

Dufry AG Group to Acquire Remaining Equity Interests in Hudson

Dufry AG Group, Hudson’s controlling shareholder, agreed to acquire all outstanding Hudson shares it does not already own for $7.70 per Class A share, taking Hudson private and delisting it from the NYSE. The transaction (approved by Hudson’s independent special committee and Dufry’s board) aims to reintegrate Hudson into Dufry to facilitate execution of their travel retail strategy and is expected to close in Q4 2020 subject to customary approvals and financing conditions.

Mytheresa (through MYT Netherlands Parent B.V.) has completed the acquisition of YOOX NET‑A‑PORTER (YNAP) from Richemont. The combined group will be consolidated under MYT Netherlands Parent B.V., renamed LuxExperience B.V. (trade name LuxExperience, ticker LUXE), and Richemont received 49,741,342 Mytheresa shares (≈33% post-issuance) in exchange for YNAP and its net cash position.
