Energy & Minerals Group and Vision Blue Invest $150M in Serra Verde

The Energy & Minerals Group (EMG) and Vision Blue Resources (VBR) have invested US$150 million into Serra Verde Pesquisa e Mineração Ltda., a Denham Capital portfolio company developing an integrated rare earth element (REE) mining and processing operation in Minaçu, Goiás, Brazil. The capital funds completion of Phase I construction and commissioning, de-risks the project to production and cash flow, and supports further optimization and potential Phase II expansion to supply REEs used in permanent magnets for EVs and wind turbines.

Petro-Victory Energy and BlueOak Investments Acquire Capixaba Energia

Petro-Victory Energy Corp., in partnership with financial backer BlueOak Investments, has completed the acquisition of Capixaba Energia LTDA, a producing onshore oil and gas asset in the Espírito Santo Basin that is currently producing ~400 boe/d. Under the joint venture agreement Petro-Victory will operate the assets and hold an initially nominal equity interest that can increase to 20% and then 50% upon achievement of performance milestones, while BlueOak has funded initial payments and committed additional capital expenditures.

Sev.en Global Investments Agrees to Acquire 51% of Coronado Global Resources (Agreement Terminated)

In September 2023 Sev.en Global Investments signed a binding agreement to acquire a 51% interest in Coronado Global Resources Inc. from affiliates of The Energy & Minerals Group, subject to customary regulatory approvals. Coronado is a major metallurgical-coal producer with operations in Queensland, Australia and the Central Appalachian region of the United States; EMG terminated the agreement in June 2024 after certain conditions (including FIRB approval) were not satisfied by the outside date.

Eagle Summit Resources Acquires Reflectance Energy

Eagle Summit Resources, LLC purchased Reflectance Energy, LLC and will operate the acquired Reflectance coal mining complex under the new name Eagle Mountain Energy, LLC. The acquisition adds more than two million tons of annual metallurgical coal production capacity in Wyoming County, West Virginia and strengthens ESR's position among the top U.S. metallurgical coal producers; the deal was accompanied by a new term loan facility from Valor Mining Credit Partners (managed by Breakwall Capital in partnership with Vitol) and an exclusive marketing agreement with Vitol for export volumes.

Energy Fuels Inc. completed the acquisition of Base Resources Limited in an all-share deal valued at approximately US$178.4 million, securing the Toliara Project in Madagascar and Base's heavy mineral sands capabilities. The acquisition provides Energy Fuels with additional monazite feedstock for rare earth element processing, potential titanium and zirconium production, and expands its critical minerals and supply-chain capabilities for clean-energy and defense markets.
