Manchester United plc has entered into an agreement under which Sir Jim Ratcliffe, Chairman of INEOS, will acquire 25% of the company’s Class B shares and up to 25% of its Class A shares via a cash tender offer at $33.00 per share. Ratcliffe’s vehicle, Trawlers Limited, will also provide an additional $300 million intended to enable future investment into Old Trafford, subject to regulatory and shareholder approvals.
Shore Capital Partners has formed a growth partnership with Bundled Management, a national property management platform founded in 2018 that provides property management, maintenance, and ancillary services to homeowner associations and real estate investors. The investment will support Bundled’s national expansion, technology enhancement, and team development as Shore works with Bundled’s leadership and a newly assembled board to scale the business.
Hg-backed software group Visma expanded its shareholder base in a transaction valuing the company at EUR 19 billion, welcoming around 20 new investors and raising over €1bn from new investors plus roughly €3bn of new investment from existing shareholders. Flowers & Co. has completed a $125 million all-primary equity investment (expandable to $165 million) for a minority stake in Capital Funding Bancorp, Inc., the holding company for Baltimore-based CFG Bank. The growth-capital investment will support CFG Bank’s expansion of its national healthcare and multifamily lending businesses and bolster the bank’s ongoing growth trajectory.
EQT Private Equity (EQT X) has agreed to invest in Swedish software companies HVD Group (Hantverksdata) and Next (Next One Technology) to create a strengthened Northern European platform serving tradespeople and the construction industry. The investment brings together complementary cloud-based field service, ERP and construction project management products to expand capabilities and accelerate growth across the Nordics and Germany; closing was expected in February 2024.
Bain Capital Insurance invested $200 million to acquire the operational platform of GuideOne Insurance Company and to launch The Mutual Group, a new insurance services platform focused on mutual insurers. Advantage Capital provided a $1.75 million growth capital investment in Utah-based Farmstead Manufacturing to fund a land purchase and expand a commercial bakery from 1,000 to 5,000 square feet. Atairos has agreed to invest as a minority partner in V Sports S.C.S., the holding company controlled by Nassef Sawiris and Wesley Edens that owns Aston Villa FC. The capital will be used to fund growth and infrastructure investments across AVFC and the broader V Sports network; V Sports will remain 100% owner of Aston Villa post-closing and retain control of club decisions.

PSG Equity has committed an additional $100 million of growth capital to Sport Alliance, the Hamburg-based provider of cloud-based ERP and membership-management software for gyms and fitness studios. The follow-on investment builds on PSG's initial $65 million 2021 investment and will support Sport Alliance's international expansion and continued product and commercial growth; Sport Alliance now serves over 8,000 facilities, supports 5.2 million members and has roughly 350 employees.
An affiliate of Paceline Equity Partners has provided a $50 million investment to Kelso Industries, a portfolio company of Oxbow Equity Partners and Peterson Partners. The capital will be used by Kelso to fund acquisitions of complementary HVACR and mechanical building services businesses as it pursues inorganic growth. Kelso provides installation and maintenance services for HVACR, plumbing and process piping systems and is based in Phoenix, Arizona.
Lafarge Canada Inc. led an equity investment in Toronto-based EXACT Technology Corporation to accelerate digital solutions for the concrete and construction industry.
