GTCR Acquires ADT Commercial (rebranded as Everon)

GTCR has completed the acquisition of ADT Inc.'s commercial security, fire and life safety business, which will operate as a standalone company rebranded as Everon. GTCR is partnering with former Protection1 executives Dan Bresingham (to serve as CEO) and Tim Whall (board director) and other ADT Commercial leadership to grow the business through strategic M&A and technology investment. ADT Inc. acted as the seller in the divestiture.

DIGIOP's subscription-based video + data platform and its CEO Mike Compton (who will join Everon as CTO) will help Everon expand its intelligence-driven, cloud-connected SaaS offerings for commercial security and operations.

Everon Acquires Portland Safe, Inc.

Everon (formerly ADT Commercial) acquired all outstanding stock of Portland Safe, Inc., a Maine-based authorized dealer and service provider of NCR ATMs and ITMs. The purchase, sold by co-owners Brian Sevit and John Fecteau, expands Everon's commercial security footprint and customer base across Maine and New Hampshire; Portland Safe's co-owner Brian Sevit will remain to help lead the business under Everon's ownership.

ADT Commercial Acquires CLS Technology, Inc.

The acquisition expands ADT Commercial's commercial integration footprint and deepens its fire and life-safety capabilities in the Houston market; financial terms were not disclosed.

ADT Acquires Sunpro Solar

ADT Inc. completed its acquisition of Sunpro Solar from a group of private equity investors (led by Compass Group Equity Partners and including TGP, MGG and Millstone) for $160 million in cash plus approximately 77.8 million ADT shares ( ~ $825 million implied value). Sunpro — a rooftop solar installer with ~3,600 employees operating 56 locations in 22 states — will be rebranded as ADT Solar, with founder Marc Jones and the Sunpro management team leading the new business to expand ADT's smart-home and energy offerings.
