i3 Verticals, Inc. (Nasdaq: IIIV) acquired substantially all of the assets of Business Information Systems, GP and Business Information Systems, Inc. (BIS), a provider of software and electronic payment solutions serving state and local governments. The aggregate purchase price was approximately $87.7 million ( $52.5M cash and $35.2M Class A common stock) plus up to $16.0 million of contingent consideration; approximately 150 BIS employees joined i3 Verticals.

EQT and CPPIB Acquire Majority Stake in Waystar from Bain Capital

The EQT VIII Fund and Canada Pension Plan Investment Board (CPPIB) agreed to acquire a majority equity stake in Waystar, a cloud-based revenue cycle management provider, in a transaction valuing the company at $2.7 billion. Bain Capital Private Equity will retain a minority stake and will continue to support Waystar alongside the new investors to fund continued innovation and transformative M&A.

(ISSI) to form a leading multiemployer benefits administration solutions provider. Harbour Benefit Holdings retained an investment in the combined business; terms were not disclosed.

CCP Capital Strategies has acquired Executive Information Systems (EIS), a Bethesda-based company that provides outbound and inside sales, business development, contract management and back-office support to software developers and manufacturing partners selling to government customers. Five Points Capital provided unitranche debt financing and an equity co-investment to support the transaction; EIS holds a GSA Schedule and is a federal channel partner for SAS Institute.
