Labrador Uranium Acquires Altius' Labrador Uranium-Copper Projects

Labrador Uranium Inc. acquired a 100% interest in the Central Mineral Belt Uranium-Copper Project and the Notakwanon Uranium Project from Altius Resources Inc. in exchange for 8,000,000 common shares of Labrador Uranium (approximately 16.8% of issued LUR shares) and a 2% gross overriding royalty on the projects. The transaction leaves Altius with an equity stake in Labrador Uranium and a royalty interest while Altius will file an early warning report in connection with the share issuance.

(UEC) agreed to acquire all outstanding common shares of UEX Corporation (UEX) via a statutory plan of arrangement, using a share exchange of 0.0831 UEC shares for each UEX share (implied C$0.43 per UEX share, ~50% premium). The deal, expected to close in Q3 2022, combines UEC's U.S. production-ready ISR assets and physical uranium holdings with UEX's Canadian exploration portfolio in Saskatchewan and Nunavut to create a larger North American-focused uranium company.

NIU Invest Acquires Majority Stake in Critical Metals PLC

NIU Invest SE, led by Cevdet Caner, completed a subscription for 61,402,390 new ordinary shares in Critical Metals PLC, taking a 60.34% majority stake. Critical Metals holds a 70% interest in the Molulu cobalt and copper project near Lubumbashi in the Democratic Republic of Congo; NIU said it will develop the project and expand its mining portfolio across multiple regions.

The combined company will consolidate copper-focused exploration assets across British Columbia and the Yukon, subject to due diligence, shareholder and exchange approvals.

An affiliate of Northampton Capital Partners LLC completed the acquisition of all issued and outstanding common shares of Altius Renewable Royalties Corp. (TSX:ARR, OTCQX:ARTWF) (other than those indirectly owned by Altius Minerals) for C$12.00 per share by way of a statutory plan of arrangement approved by the Court of King’s Bench of Alberta. Northampton said it plans to support ARR and the Great Bay Renewables team to grow the company's renewable energy royalties platform.

Talon Metals Acquires Lundin Mining's Eagle Mine and Humboldt Mill

Talon Metals Corp. has completed the previously announced acquisition of Lundin Mining's Eagle Mine and associated Humboldt Mill (held via Lundin Mining US Ltd.), creating a multi-asset U.S. nickel-copper company. As consideration, Lundin Mining received 275,152,232 Talon shares and a limited production-payment royalty on non-Eagle ore processed at the Humboldt Mill; the deal brings the Eagle operating team into Talon and positions the company to extend mine life and accelerate regional exploration.
