H.B. Fuller Acquires Adhezion Biomedical and XCHEM International

H.B. Fuller Company completed two strategic acquisitions: Adhezion Biomedical, a U.S. medical adhesives business, and XCHEM International, a UAE-based specialty adhesives and coatings manufacturer. The deals expand H.B. Fuller’s capabilities in medical/topical skin-bonding adhesives and establish its first manufacturing presence outside the U.S. for its Construction Adhesives (CA) business, contributing an estimated $17 million in revenue and $2 million in adjusted EBITDA for fiscal 2023.

H.B. Fuller Acquires Apollo and Fourny

H.B. Fuller has completed the acquisitions of Apollo, the United Kingdom's largest independent manufacturer of liquid adhesives, and Fourny nv of Belgium. The two businesses (projected combined purchase price $211 million) will be integrated into H.B. Fuller's Construction and Engineering Adhesives units to expand its roofing, construction and transportation adhesive capabilities across the UK and Europe, with expected annual run-rate synergies of $8 million by 2024.

H.B. Fuller Acquires ND Industries Inc.

H.B. Fuller Company has acquired ND Industries Inc., a family-owned specialist in specialty adhesives, pre-applied fastener coatings and the Vibra-Tite product line. The deal brings ND's five U.S. locations, approximately $70 million in 2023 revenue and ~300 employees into H.B. Fuller's Engineering Adhesives global business unit to expand product capabilities and accelerate growth in CASE end markets.

H.B. Fuller Acquires GEM S.r.l. and Medifill Ltd.

H.B. Fuller Company signed agreements to acquire Italian medical adhesive manufacturer GEM S.r.l. and Irish tissue-adhesive producer Medifill Ltd., expanding its Medical Adhesive Technologies (MAT) business and establishing a European hub for the platform. The combined purchase price is €180 million (pre-synergy 15.5x EBITDA) with expected 2024 combined net revenue of €23 million and adjusted EBITDA of €11.5 million; the GEM transaction is expected to close in February 2025, subject to customary conditions.

Pacific Avenue Capital Partners Acquires H.B. Fuller North American Flooring Business (Now TEC Specialty Products)

Pacific Avenue Capital Partners has completed the acquisition of H.B. Fuller’s North American Flooring Business, which will operate as TEC Specialty Products. Headquartered in Aurora, Illinois, TEC manufactures flooring repair and installation products (adhesives, grouts, mortars and moisture mitigation systems) across six manufacturing facilities and three warehouses and will be positioned for growth under Pacific Avenue’s stewardship following the carve-out.

EUKALIN Corporation Acquires Adhesives Specialists, Inc.

EUKALIN Corporation, part of the family‑owned EUKALIN Group, acquired all assets of Adhesives Specialists, Inc., including the Allentown, Pennsylvania manufacturing facility and real estate. The acquisition expands EUKALIN’s North American manufacturing footprint and adds water‑based and hotmelt adhesive capabilities to better serve packaging and labeling customers across the United States.
