H.B. Fuller Acquires Apollo and Fourny

H.B. Fuller has completed the acquisitions of Apollo, the United Kingdom's largest independent manufacturer of liquid adhesives, and Fourny nv of Belgium. The two businesses (projected combined purchase price $211 million) will be integrated into H.B. Fuller's Construction and Engineering Adhesives units to expand its roofing, construction and transportation adhesive capabilities across the UK and Europe, with expected annual run-rate synergies of $8 million by 2024.

Novolex, a leading sustainable packaging manufacturer headquartered in Hartsville, South Carolina with more than 10,000 employees and 57 manufacturing facilities, will look to leverage Apollo's resources to expand customer relationships, sustainability initiatives and product innovation.

Fuller Company signed agreements to acquire Italian medical adhesive manufacturer GEM S.r.l. and Irish tissue-adhesive producer Medifill Ltd., expanding its Medical Adhesive Technologies (MAT) business and establishing a European hub for the platform. The combined purchase price is €180 million (pre-synergy 15.5x EBITDA) with expected 2024 combined net revenue of €23 million and adjusted EBITDA of €11.5 million; the GEM transaction is expected to close in February 2025, subject to customary conditions.
