Shadowbriar Capital Partners Acquires Benada Aluminum Products

An affiliate of Shadowbriar Capital Partners acquired a controlling stake in Benada Aluminum Products from Big Shoulders Capital and ABGB Capital; the sellers will remain minority investors. White Oak provided $32.5 million of committed debt financing to support the transaction. Shadowbriar intends to partner with Benada's management to expand the company's manufacturing capabilities and drive long-term growth across its building-products and industrial end markets.

Illva Saronno Holding Acquires Majority Stake in Sagamore Spirit

Italian spirits group Illva Saronno Holding S.p.A. has purchased a majority stake in Baltimore-based Sagamore Spirit, the rye whiskey brand and distillery owned by Sagamore Ventures (the family office of Kevin Plank). The deal expands Illva Saronno's U.S. presence and whiskey portfolio while preserving Sagamore Spirit's Maryland-based operations and enabling further market expansion.

SPB Hospitality Adds Krystal Restaurants to Portfolio

SPB Hospitality has completed a merger with Krystal Restaurants, adding nearly 300 quick-service locations and roughly 3,500 employees to SPB's portfolio. The move expands SPB's multi-brand restaurant platform (which is owned by funds managed by affiliates of Fortress Investment Group) and aims to leverage shared services and best practices across brands.

Nocturne (backed by Gladstone Investment) Acquires St. Barth Properties (SBP)

Nocturne Villa Rentals, Inc., a Gladstone Investment portfolio company, acquired St. Barth Properties, Inc. and St. Barth Dream Vacations SARL (collectively "SBP") on July 23, 2021. Gladstone Investment provided additional secured debt to support the add-on acquisition, expanding Nocturne's luxury vacation rental portfolio to include SBP's ~250 high-end properties on St. Barth.

SPB Hospitality Acquires J. Alexander's Holdings for $220M

SPB Hospitality, a Fortress-owned restaurant operator, completed the acquisition of J. Alexander's Holdings, Inc. for approximately $220 million in cash, adding 47 polished-casual restaurants to its portfolio. The transaction was approved by J. Alexander's shareholders and expands SPB's full-service dining footprint across the United States.

PAI Partners Acquires Winterbotham Darby (with Addo Food Group forming new chilled food platform)

PAI Partners has agreed to acquire Winterbotham Darby from Equistone Partners Europe, with LDC exiting its minority stake; the company's management will remain invested. Following completion, Winterbotham Darby will join a new UK chilled food platform alongside Addo Food Group (also being acquired by PAI) to consolidate capabilities across chilled, continental and plant-based categories; terms were not disclosed and the deal is subject to regulatory approvals.
