ArcLight Acquires Incremental 12.5% Stake in Natural Gas Pipeline Company of America (NGPL)

An affiliate of ArcLight Capital Partners acquired an incremental 12.5% interest in Natural Gas Pipeline Company of America LLC (NGPL) from Brookfield Infrastructure, increasing ArcLight's ownership to 37.5%. Brookfield Infrastructure retains a 25% interest and Kinder Morgan continues to operate NGPL and hold a 37.5% stake. NGPL is a major interstate natural gas pipeline system that transports gas into the Chicago market and to LNG export facilities, supporting energy reliability and export growth.

ArcLight Capital Partners acquired a 25% equity interest in Gulf Coast Express Pipeline LLC (GCX) for $865 million from an affiliate of Phillips 66. Going forward GCX will be jointly owned by subsidiaries of Kinder Morgan and ArcLight and will continue to be operated by a Kinder Morgan subsidiary; the pipeline provides ~2 Bcf/d takeaway capacity from the Permian Basin to U.S. Gulf Coast end markets including LNG export facilities in South Texas.

Enstor, the largest privately owned U.S. natural gas storage company headquartered in Houston, will continue to operate its six underground storage facilities across Alabama, Mississippi, Texas and New Mexico.

Chevron Acquires Equity Interest in American Natural Gas LLC (Beyond6) from Mercuria

Inc. closed its previously announced acquisition of an equity interest in American Natural Gas LLC (operator of the Beyond6 CNG fueling network), acquiring a network of about 60 compressed natural gas stations across the United States from Mercuria Energy Trading. The deal expands Chevron's alternative-fuels footprint and supports its strategy to grow lower-carbon and renewable natural gas distribution capabilities.

ConocoPhillips Acquires Additional 10% Stake in Australia Pacific LNG (APLNG) from Origin Energy

ConocoPhillips, through its Australian subsidiary, completed the purchase of an additional 10% interest in Australia Pacific LNG (APLNG) from Origin Energy for $1.645 billion (approximately $1.4 billion cash after adjustments). The transaction increases ConocoPhillips' ownership in APLNG to 47.5%, with Origin Energy and Sinopec holding 27.5% and 25% respectively, and is intended to bolster ConocoPhillips' LNG position and diversify its product mix.
